  1. Promotion Period.  Eligibility to enter a Keystone Remodeling Inc. (“Keystone”) Instagram Giveaway (the “Promotion”) starts on the day the Promotion is announced (first time posted on Keystone’s Instagram page) and ends at 11:59:59 PM PDT on the day or date noted in the announcement (e.g., six days following the announcement) (the “Promotion Period”).

  2.  Eligibility.  

    1. The Promotion is open only to legal residents of the continental United States and the District of Columbia who are 18 years of age or older at the time of entry and who are registered users of Instagram (as further defined in Section 3 below). Employees of Keystone or its affiliates (the “Sponsor”) and any advertising and promotion agencies involved in the Promotion and each of their respective agents, representatives, officers, directors, shareholders, and employees, and the immediate families (spouse, and parents, children and siblings, and their respective spouses regardless of where they live) and individuals living in the same households, whether related or not, of the above, are not eligible to enter or win a prize. 

    2. Each entrant (the “Entrant”), by participating in the Promotion, agrees to be bound by these Official Rules and by Sponsor’s decisions. 

    3. Void where prohibited or restricted by law. This Promotion is subject to all applicable federal, state, and local laws and regulations.

  3. How to Enter.  

    1. To enter the Promotion, you must either (a) submit your Entry (as defined below) via Instagram as directed in the appropriate post and as provided for in these Official Rules; or (b) by following the directions in Section 3.3, in each case, within the time period described in the announcement for the Promotion (the “Entry Period”). 

    2. Entry Via Instagram

      1. To enter the Promotion via Instagram, you will first need to become a registered user of www.Instagram.com (“Instagram”).

      2.  Once you become a member and log in, your account and Entry (as defined below) must be set to “public” for the duration of the Promotion or as otherwise provided for in the announcement for the Promotion, in order to participate in the Promotion. 

      3. If you do not have an account, visit Instagram to create one. There is no fee or charge to become a registered user of Instagram. By submitting your information and creating an account, you agree to the respective terms of use and privacy notice of Instagram. If you do not agree to such terms of use and privacy notice, you cannot create an Instagram account.  

      4. If you choose to keep your settings to “private” during the Promotion Period, you cannot participate in the Promotion. You can return your account to “private” any time after the winner announcement.

      5. To enter via Instagram:

        1. Go to www.Instagram.com and log into your Instagram account;

        2. Then visit the Keystone Remodeling WA page on Instagram at https://www.instagram.com/keystone.wa/  (@keystone.wa); and

        3. Look for the call to action on the @keyston.wa timeline and then follow that call to action (i.e., post your comment along with any hashtag specified in the brand’s promotion post, like the post, follow an account, etc.).

      6. Usage of Instagram may require a mobile device and therefore you may be charged for standard data rates according to the terms and conditions in your agreement with your wireless carrier.

      7. You agree to incur at your sole cost any and all charges demanded by your wireless carrier. You should also check your device’s features for capabilities and check the device manual for specific use instructions.

      8. All entry information, captions, photos, actions, and posts (including any mailing provided for in Section 3.3) shall be collectively referred to herein as the “Entry.”  Submissions must comply with the Guidelines and Restrictions in Section 4 below.

      9. If making an Entry via Amazon, the Entrant must be the authorized account holder of such Instagram account, otherwise the Entry may be deemed void. If there is a dispute over the identity of a potential winner, the Entry will be declared made by the authorized holder of the Instagram account used for entry, and the potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such Instagram account. The “authorized account holder” is the natural person assigned to the applicable Instagram account by Instagram. It is the sole responsibility of the Entrant to notify the Sponsor in writing if the Entrant changes his or her Instagram account during the duration of the Promotion. Multiple accounts may not be used, and anyone found to use multiple accounts to enter will be deemed ineligible.

      10. By submitting your Entry via Instagram, you agree that your Entry conforms to any terms of use, platform guidelines, policies and content restrictions of Instagram (as applicable).

    3. Entry via Mail

      1. To enter the Promotion without engaging with @keystone.wa on Instagram, you may make an Entry by hand printing your complete name, address, city, state, zip code, month/year of birth and email address on a plain piece of 8 ½" x 11" paper, inserting it into an envelope, affixing sufficient postage and mailing it, in a hand-addressed envelope, to: “Keystone Remodeling Inc.” ATTN: Social Team, 2018 156th Ave NE STE #128, Bellevue, Washington 98007.

      2. All mail-in Entries must be postmarked and received during the Entry Period. We are Not responsible for lost, late, illegible, mutilated, postage-due, misdirected Entries, or Entries not received in time for the random drawing. All Entries become the property of Sponsor.

    4. Other Important Terms Regarding Entries

      1. Proof of submission of an Entry does not constitute proof of delivery of Entry.

      2. Limit of one (1) Entry per person per promotion. If multiple entries are submitted only the first Entry received will be eligible, all other entries will be disqualified.

      3. Each Entry must be manually keystroked and manually entered by the individual Entrant; automated and/or repetitive electronic submission of entries (including, but not limited to, entries made using any script, macro, bot or service) will be disqualified and transmissions from these accounts or related e-mail or IP addresses may be blocked.

      4. By entering this Promotion, winners agree to grant the Sponsor, its affiliates and its agents and designees, the exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, database rights and any other rights Entrant has in the Entry, and also the right and permission to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, translate, dub, adapt, publish, exploit, and use the content of and elements embodied in the Entry, in any media now known or hereafter devised (including without limitation, the Internet), for advertising and promotional purposes without additional compensation, except where prohibited by law.

      5. Each Entrant hereby represents and warrants that he/she is the original author/creator of his/her Entry and the Entry will not infringe any third party’s copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy. Sponsor’s use of information submitted to Sponsor in connection with this Promotion will be subject to the terms and conditions of these Official Rules.

    5. Follow the Official Rules.  

      1. By submitting your Entry, you agree that (a) your Entry and participation in the Promotion is governed by these Official Rules (b) your Entry conforms to the Guidelines and Restrictions in Section 4 below; and (c) the Sponsor, in their sole discretion, and without notice, may disqualify you from the Promotion if they determine that your Entry fails to conform to these Official Rules.

      2. Entries that do not comply with these Official Rules, as determined in Sponsor’s sole discretion, will be disqualified from the Promotion. Decisions of the Sponsor are final and binding.

  4. Guidelines and Content Restrictions.  Any Entries made via Instagram will comply with the following restrictions:

    1. The Entry must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity, copyright, trademark or other intellectual property rights; 

    2. The Entry must not disparage or embarrass Sponsor, their owners and employees, or any other person or party affiliated with the Promotion and administration of the Promotion;

    3. The Entry must not feature brand names or trademarks of others;

    4. The Entry must not contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libelous;

    5. The Entry must not contain any materials relating to lotteries, gambling, tobacco, alcohol or drugs, pornography, adult-oriented content or any other sexually-explicit material;

    6. The Entry must not contain anything that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and

    7. The Entry must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where Entry is created.

  5. Prizes.  

    1. The prize for each Promotion (the “Prize”) will be described in the announcement for the Promotion.

    2. One (1) Prize will be awarded to a randomly selected Entrant for each Promotion.

    3. The Prize is nontransferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. 

    4. Sponsor reserves the right to substitute the Prize for one of equal or greater value if the designated Prize should become unavailable for any reason. 

    5. Winner is responsible for all taxes and fees associated with the receipt and/or use of the Prize.

  7. Prize Drawing.  

    1. One (1) potential winner will be selected by the Sponsor on that date noted in the Promotion announcement.  Odds of winning depend on the number of eligible entries received. 

    2. A purchase or payment of any kind will not increase the chance of winning. 

    3. The potential winners will be emailed and such notification will direct them on how to redeem each Prize. 

    4. The potential winners will be required to sign and return to Sponsor, within ten (10) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release (“Affidavit”) in order to claim a Prize. 

    5. If a potential winner cannot be contacted, or fails to sign and return the Affidavit within the required time period, the potential winner forfeits the Prize. Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will award the Prize to an alternate winner by random drawing from among all remaining eligible entries.

  8. Release.  By receipt of any Prize, winner agrees to release and hold harmless Sponsor, its respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies and prize suppliers, Instagram, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of any Prize.

  9. Publicity.  BY SUBMITTING AN ENTRY, YOU ACKNOWLEDGE THAT YOUR ENTRY (INCLUDING YOUR USERNAME AND PROFILE PICTURE) MAY BE POSTED ON INSTAGRAM AND/OR SPONSOR’S PROPRIETARY WEBSITE AND/OR SOCIAL PAGES, WHERE IT MAY BE VIEWED, SHARED (BY USERS OF SOCIAL MEDIA AND VARIOUS OTHER INTERNET-BASED SITES) AND COMMENTED ON BY THE SPONSOR AND THE GENERAL PUBLIC.

  10. General Conditions.  Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion, without prior notice. In the event Sponsor is prevented from awarding the Prize or continuing with the Promotion as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Promotion. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

  11. Limitation of Liability.  The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind including, but not limited to, malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Promotion or receipt or use or misuse of any Prize. No more than the stated number of prizes will be awarded. Sponsor is not responsible for typographical or other errors in the offer or administration of this contest including, but not limited to, errors in advertising, the Official Rules, the selection and announcement of winners, or the distribution of any Prize. Sponsor is not liable for lost, late, stolen or misdirected entries. If, for any reason, the Promotion is not able to run through completion for reasons which may include, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, then the Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion in whole or in part, without further liability to the Entrants or third parties. In the event the Promotion is cancelled, Sponsor reserves the right to award the Prize from among all eligible non-suspect entries received prior to the time of the action or event warranting such cancellation. The Released Parties: (1) make no warranty, guaranty or representation of any kind concerning any Prize; (2) disclaim any implied warranty; and (3) are not liable for injury, loss, or damage of any kind resulting from the acceptance or use of any Prize, travel related thereto or from participation in this Promotion. By entering this Promotion, Entrant agrees to be bound by these Official Rules and all decisions of the Sponsor. If any activity relating to any Prize is canceled or postponed for any reason, the balance of that Prize will be awarded in full satisfaction of the Prize award.

  12. Disputes.  Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the U.S. District Court for the Western District of Washington or the appropriate Washington State court located in King County, Washington; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Washington without giving effect to any choice of law or conflict of law rules (whether of the State of Washington or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Washington.

  13. Entrant’s Personal Information.  By entering the Promotion, Entrant agrees Sponsor may contact him/her via direct message to the drawing regarding the Promotion and agrees to provide an email address so the Sponsor can send an Affidavit. Except as noted in these rules, personal information collected from Entrant shall be used by the Sponsor only for the purpose of administration of the Promotion, and will not be re-used, sold or shared in any manner by Sponsor or any third parties unless Entrant has elected to receive additional information and promotional material from Sponsor or a third party. 

  14. Sponsor.  

    1. The Sponsor of the Promotion is Keystone Remodeling Inc., which is located at 2018 156th Ave NE STE #128, Bellevue, Washington 98007.

    2. This promotion is in no way sponsored, endorsed, or administered by, or in association with Instagram. Entrants are providing their information to Sponsor, and not to Instagram. Any questions, comments or complaints regarding the Promotion are to be directed to Sponsor, at the address noted above, not Instagram.
